Thompson Hine Bolsters Tax and Public Finance Capabilities with Senior Counsel Jeffrey Golds in Chicago

Thompson Hine LLP, a law firm nationally recognized for its innovation focus, announced that Jeffrey Golds has joined the firm as senior counsel in the Tax practice. Based in Chicago, Golds further strengthens the firm’s capabilities in partnership taxation, sophisticated tax credit financing, and tax-exempt bond matters, which are critical to middle-market clients, institutional investors, nonprofit organizations, and public entities.

Golds is the latest addition to Thompson Hine’s growing Chicago office, following the recent arrivals of real estate partner Matthew Alshouse, who focuses on private equity real estate and cross‑border transactions, and corporate partner Robyn Axberg, who advises founder‑led and middle‑market companies on mergers and acquisitions and joint ventures. Together, these hires deepen the office’s multidisciplinary capabilities across corporate, real estate, capital markets, and cross‑border matters and reflect the firm’s continued investment in Chicago.

“Jeff’s arrival immediately deepens our bench where clients most need practical, deal-focused tax counsel—partnerships, tax credits, and public finance,” said Kevin R. Tabor, leader of Thompson Hine’s Tax practice. “He fills critical needs across LIHTC, HTC, and NMTC opinion work, enhances our support for tax‑exempt bond transactions, and complements our Subchapter C, Subchapter K, and international capabilities, enabling us to execute with speed and precision for middle‑market companies and financial sponsors.”

Golds brings more than a decade of experience advising on complex tax issues for partnerships and S corporations, Subchapter C corporate transactions including tax-free reorganizations and spin‑offs, and specialized federal and state tax credit programs. His background spans LIHTC, NMTC, and historic rehabilitation (HTC) credits; tax‑exempt bond tax diligence and certifications; and cross‑border and international tax considerations arising in acquisitions and restructurings. He also regularly drafts opinions, memoranda, and transaction-driven tax outlines, reviews corporate and financing documents for tax compliance and structuring, and counsels clients on alternative structures to optimize tax outcomes.

Golds’ practice will support clients in tax, public finance, corporate transactions and M&A, and real estate matters, including investor-side and developer-side tax credit structures, partnership M&A, fund and joint venture arrangements, and tax diligence for financing and acquisition transactions. His experience includes drafting tax certifications and IRS forms for tax‑exempt bond issuances, analyzing tax issues in mergers and restructurings, and advising on international structuring, credits and incentives, and corporate reorganizations.

Prior to joining Thompson Hine, Golds gained extensive experience at both law firms and Big Four accounting firms, focusing on transactional tax, public finance, and federal and state tax credits, including time at Applegate & Thorne‑Thomsen concentrating on LIHTC, NMTC, and historic tax credit transactions and opinions. He began his tax career in New York advising on mergers, acquisitions, and international tax structuring.

Golds earned an LL.M. in Taxation, with honors, from Northwestern Pritzker School of Law, a J.D., cum laude, from the University of Michigan Law School, and a B.A., cum laude, from the University of California, Irvine. He is admitted to practice in Illinois and New York.
