Alan is a senior managing associate in Thompson Hine’s Corporate Transactions & Securities group. His work centers on day-to-day operational needs, including contract preparation and review and general corporate governance. Alan’s practice focuses on middle-market transactions, including mergers, acquisitions, divestitures, and reorganizations, along with a variety of corporate governance matters, entity formations, and general business counseling. Alan has developed particular experience in mass tort-related restructurings and transactions, including those involving asbestos liability.

As a member of the firm’s Contract Solutions team, he drafts and negotiates a wide range of commercial agreements—master services and consulting agreements, referral agreements, nondisclosure agreements, and reseller and distribution agreements—with an emphasis on practical, business-aligned risk allocation.
