Data Centers

  • Providing ongoing representation to a utility developing SMR projects with Amazon, which is providing development funding and serving as the lead offtaker of electricity in connection with its data center project, including negotiating a funding agreement with Amazon for a current project as well as an extension of funding/rights for future projects (including power needs, fuel supply matters, and IP licenses), and terms related to the debt financing (including DOE) of the initial project.
  • Representing a major U.S. utility in the planned development, financing, construction, and operation of an SMR project, with shared funding and power offtake by a JV partner for data center development and operations.
  • Representing a data center developer in New Mexico, including negotiating an agreement for the provision of initial power needs and the planned acquisition of longer-term power needs of up to 2.25 GW (including carbon-free energy and contemplated microgrids), as well as other development and financing matters.
  • Representing a data center developer in connection with negotiations with an SMR project developer (and potential data center co-owner) in the southwestern U.S.
  • Representing the world’s largest renewable power producer in connection with data center offtake power purchase agreements (including nuclear) and restructurings/sales of investments in data centers and related provisions of electrical power (including the sale of a 50% interest to a data center JV co-owner/offtaker).
  • Representing the world’s largest renewable power producer in formulating a transaction structure to be used in a nationwide data center energy development for a hyperscaler.
  • Representing a data center co-owner in the sale of a majority stake in two data center projects in Texas (one a future phased sale combined with collateral security, guarantees, and equity commitments) and the modification of electrical supply arrangements.
  • Representing a JV, including an SMR technology provider and a PE group, in bidding for an SMR project to be developed on a build-transfer basis.
  • Representing a leading AI company in its contemplated investments in nuclear technology companies (fusion and SMR) for long-term power needs.
  • Representing a major utility group in connection with its contemplated role as COLA advisor and provider of commissioning, startup, and operational services for an SMR project in the western U.S. (targeted in part to serve data center needs).
  • Working with the Energy Futures Initiative (founded by former Energy Secretary Ernest Moniz) to develop a financing model for multiple SMR projects.

  • Serving as project counsel for Quezon (Philippines – Worldwide Project of the Year), including in connection with project bond issuances by sponsors.
  • Serving as project counsel for Iijan (representing KEPCO in a 1200 MW combined-cycle power project and associated gas pipeline in the Philippines – Asian Project of the Year).
  • Serving as project counsel for Meizhou-wan (China – Asian Project of the Year).

  • Representing energy/infrastructure fund purchasers of project bonds, including in a recent TVA Johnsonville aeroderivative transaction.

  • Representing Bechtel in connection with the multibillion-dollar sale of its interests in InterGen to Royal Dutch Shell.
  • Representing InterGen in connection with the development, construction, and financing of numerous power projects in Asia, Europe, and Latin America.
  • Acting as chief counsel for Bechtel and General Electric in the successful restructuring of the largest single foreign investment ever made in India, the multibillion-dollar Dabhol energy project (three power plants combined with LNG import facilities and vessel).

  • Serving as project counsel for a solar power project developer in the development, construction (including handling contractor disputes), project financing, and sale of interests in SEGS II-IX (370 MW integrated solar facilities with an aggregate project cost of $1.4 billion) (the world’s first utility-scale solar power projects).
  • Representing the world’s largest renewable energy producer in connection with its project development and construction work for eight BOT solar power/BESS projects (including with accompanying storage systems) for multiple utilities.
  • Representing the world’s largest renewable energy producer in adding storage capacity to existing solar projects in California (including related PPA amendments).
  • Representing a utility in the western U.S. in solar additions to a conventional power plant.

  • Representing a supermajor oil and gas company in connection with JVs (with Qatar Energy) for the development, construction, and financing of a $10 billion downstream project on the U.S. Gulf Coast and a $9 billion downstream project in Qatar.
  • Representing a supermajor oil and gas company in connection with contemplated $15 billion and $4 billion downstream acquisitions (global and U.S. Gulf Coast).
  • Representing Dow Chemical in the development and construction of a $6 billion series of petrochemical facilities on the U.S. Gulf Coast.
