Sherman is senior counsel in the Commercial &amp; Public Finance group. He focuses his practice on municipal finance, project finance, public-private partnerships (P3) and EB-5 foreign investor capital transactions. He specializes in structured real estate finance and capital formation, including tax-exempt and taxable municipal bonds, synthetic equity through the monetization of available federal and state tax credits, and exempt securities offerings.

Sherman has extensive local and national experience in tax-exempt multifamily and single-family affordable housing and community redevelopment transactions. He has served as bond counsel, underwriter’s counsel, issuer’s counsel and borrower’s counsel on a variety of housing, general obligation, revenue and lease transactions in the municipal market. He has worked with numerous federal subsidy programs for housing, including CDBG, HOME Funds, project-based Section 8, HOPE VI and the Affordable Housing Program (AHP) of the Federal Home Loan Bank. Sherman also has worked with local governmental subsidy programs that provide down payment assistance and rental subsidies.

An innovator in housing finance, Sherman helped found the Atlanta Neighborhood Development Partnership (ANDP), Georgia’s first well-financed regional nonprofit developer and sponsor, and served as its general counsel. He also helped establish the Atlanta Mortgage Consortium, a group of local banks and mortgage companies that provide subsidized mortgages primarily to first-time homebuyers. In addition, Sherman spearheaded the use of tax-exempt bonds to provide construction funds for single-family housing in the state of Georgia.

Sherman has represented renewable energy companies in the issuance of Reg D and 144A securities in the domestic project finance market. He has a thorough understanding of how to evaluate and de-risk projects to make them viable in the project finance marketplace, as well as how to review the contracts associated with energy project financings, including power purchase agreements and EPC contracts, among other material documents.

Sherman has also been involved in the structuring for syndication of Low Income Housing Tax Credits (LIHTC), investment tax credits (ITC), production tax credits (PTC) and New Market Tax Credits (NMTC), primarily representing borrowers in this space and creating synthetic equity for eligible transactions, thereby reducing risk and boosting yield for both the borrower and the cash investor.

Sherman has been successful in helping attract public subsidies to private projects for commercial and mixed-use development, as well as infrastructure. He has been extensively involved in economic development through the identification and structuring of financings for specific economic development projects, with an emphasis on urban redevelopment, and has represented both public and private interests and consulted with local governments on various matters in this regard. Most recently, Sherman’s P3 experience has been in the area of on-campus facilities, where he has represented investment banks and real estate development companies providing capital or negotiating long-term concession rights for revenue-producing assets located on campus, including but not limited to, student housing and parking facilities.

Sherman has helped to establish regional centers by preparing the I-924 submissions and representing clients before U.S. Citizenship and Immigration Services. He has also represented individual projects and borrowers accessing capital through the regional center program by way of issuing Reg S- and Reg D-compliant securities to foreign investors.

Sherman joins Thompson Hine from the Atlanta office of another firm, where he worked since 2010. Prior to that, Sherman operated his own municipal finance firm for 17 years.
