Todd is the partner in charge of our New York office and a partner in the Corporate Transactions &amp; Securities practice group. He focuses his practice on representing domestic and foreign public and private companies in a wide range of securities and general corporate matters.

Todd advises on all aspects of public company representation across a wide range of industries, including corporate governance and compliance with federal securities laws and listing and compliance with the NYSE, Nasdaq, NYSE American and all OTC markets, as well as preparation of all types of financings and filings under the Securities Act of 1933 and compliance reporting pursuant to the Securities Exchange Act of 1934. He has significant experience with a variety of transactions and structures including initial public offerings, PIPEs, secondary offerings, reverse mergers, SPAC and de-SPAC transactions, exchange offers, going private transactions, tender offers and proxy matters. In addition, Todd prepares offering materials, disclosure documents and related materials for equity and debt offerings. Todd’s practice also includes representing activists and issuer defense work in the activism space.

Todd also provides counsel on mergers and acquisitions including advising on the structure and preparation of asset and stock purchase agreements, joint venture agreements, licensing agreements and corporate restructuring transactions.

In addition, he advises venture capital, private equity and hedge fund managers on the preparation of investment materials and related agreements, including the structuring of investments in publicly and privately issued securities and related strategies.

Todd's experience encompasses a wide variety of business sectors including international shipping, biopharmaceuticals, biotechnology, software, health care, telecommunications, retail and financial institutions.
