From due diligence, through the negotiation of loan documents and closing, we help private equity sponsors and similar private credit entities secure favorable acquisition financing. With deep experience in all relevant structures—including senior and mezzanine, secured and unsecured, syndicated, unilateral and unitranche credit facilities—we find just the right solutions to meet client needs in this highly competitive market.

Beyond buyer-side acquisition financing, we often handle ongoing representation of the target, through the sponsor, in connection with the credit facility. After their initial term loan is secured, PE clients also count on us for assistance with their revolving and working capital lines of credit, maintaining covenant compliance, and with all required governance and reporting. And when our PE firm clients want to lend money themselves—either to their own portfolio companies or other entities—our direct or private lending professionals step in with skilled representation and counsel.

The acquisition of distressed assets, and situations involving distressed borrowers or distressed credit, present additional financing challenges. Partnering with our experienced restructuring colleagues, we provide a smooth and strategic roadmap through this process.
