Due diligence is a key step in effectively assessing the value and risks inherent in an IP portfolio. We regularly represent clients in buying, selling and licensing intellectual property, performing due diligence to help clients optimize deal outcomes, and minimize costly missteps. Our due diligence process focuses on uncovering the rights, opportunities, and risks associated with the IP assets as well as on identifying the competitive advantage and defensibility of the portfolio.

We collaborate with clients to develop strategic technology sales, acquisitions, licensing agreements and other arrangements that enhance the value of their intellectual property assets. Our work includes performing comprehensive due diligence inquiries, advising on intellectual property management and audits, branding and marketing arrangements, software agreements, sourcing arrangements, and technology procurement, as well as joint ventures and strategic alliances.

Our broad IP licensing experience ranges from advising on traditional patent, copyright, and trademark licensing agreements to negotiating complex multiparty deals involving the acquisition, distribution, research and outsourcing of technology products and services. Litigation is typically not necessary to implement long-term licensing programs and handle transactional issues. However, when appropriate, we call upon our team of skilled litigators to resolve disputes in an efficient, cost-effective manner.
