Terrel is a corporate attorney with experience advising sponsors, lenders, borrowers, issuers and strategic investors on complex financing and transactional matters across the energy, project finance and private credit sectors.

His practice focuses on structuring and negotiating sophisticated debt financings, acquisition financings, asset-based lending, project development and financings, structured finance transactions, joint ventures and strategic investments.

Terrel has represented clients in transactions involving regulated utilities, power and infrastructure assets, data center platforms, receivables financings and secured credit facilities ranging from billion-dollar debt and acquisition financings to innovative structured finance and private credit transactions. Terrel’s mission is to help clients deploy their capital efficiently, manage risk effectively and execute transactions that drive long-term growth.

  • Representing the borrower $1.2 billion acquisition financing for a leading infrastructure investor involving regulated utility assets.
  • Representing the borrower $1.1 billion Term B refinancing for a New Jersey power plant of the U.S. subsidiary of one of the largest energy providers in Japan.
  • Representing a client in the spin out and sale of its equity interests in a joint venture overseeing data center assets through a delayed complex secured seller financing valued at $325 million.
  • Representing Department of Energy in connection with the negotiation and maintenance of a $1.45B Loan Guarantee of a solar power plant in Arizona.
  • Representing Department of Energy in connection with the negotiation and maintenance of a $1.2B Loan Guarantee of solar generating facility in California.
  • Representing a leasing company in the aviation industry, as borrower, in a $1 billion revolving credit facility.
  • Representing the borrower, a global leader in water desalination plants, in connection a $163.5 million secured loan facility.
  • Representing the seller in connection with sale of 50% interest in subsea transmission line serving the San Francisco Bay Area to create a joint venture for approximately $230m.
  • Representing the issuer in connection with $22.4 million private credit note purchase transaction, which included additional warrant coverage and equity components.
  • Representing the borrower and its special purpose subsidiary in connection with a $20 million SPV/true-sale receivables term loan.
  • Represented the seller in a series of receivables financing transactions with an upper limit of $100 million receivables financing.
  • Represented the seller in a series of transactions involving the financing of receivables involving government contracts.
