- Represented NYSE-listed real estate company as diligence counsel in its completed $1.2 billion all-cash acquisition and “take-private” of another NYSE-listed REIT, with a portfolio of more than 70 industrial assets, including industrial outdoor storage and traditional industrial properties.
- Advising as diligence counsel a global alternative asset manager and an institutional pension investor on their pending $5.2 billion all-cash acquisition of a publicly traded industrial REIT.
- Represents lenders and borrowers in the financing and refinancing of commercial real estate acquisitions, including acquisition financing, mezzanine financing and portfolio-level credit facilities secured by industrial, retail and multi-family assets.
- Represents clients in ground lease transactions, including negotiation of ground lease terms, leasehold financing and related subordination arrangements.
- Assists clients with due diligence review of title, survey, zoning, environmental and lease matters in connection with single-asset and portfolio real estate transactions.
- Represents landlords and tenants in the negotiation of office leases, including full-floor, multi-floor and build-to-suit leases for corporate headquarters and other office spaces.
- Represents landlords and tenants in the negotiation of industrial and warehouse leases, including distribution and logistics facilities.
- Advises landlords and tenants on the leasing of retail, mixed-use and other commercial real property, including lease negotiation, renewals, expansions and subleases.
- Representing tax-driven private investment fund sponsors primarily forming syndicated conservation easement funds.
- Drafting private placement memoranda for real estate investment funds with extensive company operations breakdowns dealing with oil and gas, real estate development, coal mining or aggregate stone mining as well as detailed real estate and tax disclosures.
- Managing real estate investment projects and private placement offerings from start and organization of company to final closing.
- Analyzing title and survey matters related to real estate properties for investment and address all due diligence issues.
- Drafting and negotiating transaction agreements and ancillary documents for telecommunications tower portfolio initial acquisition and subsequent sale.
