Partner

David is a partner in the firm’s real estate practice group. He represents financial institutions on real estate financing, securitized lending, secured letters of credit, and complex construction financing involving multiple financing, grant, and equity sources. Dave specializes in tax credit financing, with an expertise in projects supported by Low Income Housing Tax Credits, Historic Tax Credits and New Market Tax Credits. With more than 25 years of experience on such transactions, Dave has represented financial institutions and developers on hundreds of transactions throughout the United States, including matters involving lost development rights, tax increment financing, and USDA Rural Housing funds. He also represents financial institutions as the agent in syndicated loan transactions and provides counsel in real estate loan workouts and restructurings.

Focus Areas

  • Served as lead counsel for a lender group in connection with a $200 million syndicated construction loan to acquire and rehabilitate a 526-unit low income multifamily housing project in Rochester, New York, supported by $160 million of tax exempt bonds issued by the County of Monroe Industrial Development Agency, generating 4% federal low income housing tax credits, federal historic tax credits, and state low income housing tax credits. The project included a master lease structure for the federal historic tax credits.
  • Served as counsel for the lender, a large U.S. regional bank, in connection with a $25 million construction loan to acquire and rehabilitate a 104-unit low income multifamily housing project in Hartford, Connecticut, supported by $7 million of tax exempt bonds issued by the Housing Authority of the City of Hartford, generating 4% federal low income housing tax credits, federal historic tax credits, and state historic tax credits.
  • Represented a lender in a $43.8 million construction bond financing for developing an affordable housing project supported with federal Low-Income Tax Credits.
  • Represented a lender in a $6,000,000 construction loan financing for a 230-unit multifamily affordable housing project supported by Federal Low-Income Tax Credits and Historic Tax Credits.
  • Represented a lender in a $25,000,000 construction loan financing for a 240-unit multifamily affordable housing project supported by Federal Low-Income Tax Credits and State Low Income Tax Credits.
  • Represented a lender in a $11,000,000 construction loan financing for a multi-use project combining affordable housing with commercial space in New York supported by Federal Low-Income Tax Credits and State Low Income Tax Credits.
  • Represented a lender in a $35,000,000 construction and permanent loan financing for a multi-use project including housing and commercial space supported by New Markets Tax Credits and Historic Tax Credits.
  • Represented a lender in a $3,400,000 construction loan for a 34-unit affordable housing project supported by federal Low-Income Tax Credits and a subordinate USDA Rural Development Loan.
