Our Commercial & Public Finance practice encompasses four substantive areas: commercial finance, public finance, structured finance and corporate trust. We represent large and midsized public and private corporate borrowers in a wide range of industries, as well as a variety of major financial institutions, in complex commercial finance transactions, including:

  • Mezzanine financing
  • Private debt placements
  • Second lien financing
  • Senior debt
  • Subordinated debt

In the public finance arena, we act as bond counsel and as counsel to underwriters, issuers, placement agents, credit enhancement issuers, trustees and obligors. We regularly provide counsel in transactions involving auto loans, home equity loans and credit card receivables and have significant experience in the following:

  • Asset securitizations
  • Commercial real estate
  • Receivables purchase programs
  • Structured finance transactions
  • Student loans
  • Trade receivables

In the area of corporate trust, we represent major financial institutions, serving in various roles such as trustee, custodian or collateral agent, in corporate and municipal financings, Trust Indenture Act qualified and exempt financings, private placements and structured financings.
