Overview

Ashwin is an associate in the firm’s Corporate Transactions & Securities practice. He represents public and private companies and private equity firms in domestic and international transactions with a focus on mergers and acquisitions and capital markets transactions.

During law school, Ashwin served as a judicial intern for Chief Justice Stuart Rabner of the Supreme Court of New Jersey. Prior to law school, he worked as a management consultant.

Mergers & acquisitions:

  • Representing a large private equity firm in the $600 million sale of a national staffing firm to a NYSE-listed professional staffing agency for a mix of stock and cash consideration.
  • Representing a large private equity firm in its acquisition of an operator of airport concessions for $150 million.
  • Representing a global risk consulting and information services company and its subsidiaries in Chapter 11 proceedings, in which they successfully restructured more than $1.8 billion in funded indebtedness and resolved significant contested claims asserted by the federal government.
  • Representing a generic pharmaceuticals manufacturer in its acquisition of the U.S. specialty generic pharmaceuticals subsidiary of a multinational biopharmaceutical company headquartered in Belgium for $1.23 billion in cash, plus additional contingent consideration.
  • Representing a provider of compounded sterile preparations in its $2.6 billion sale to a global pharmaceutical sourcing and distribution services company.
  • Representing a global placement agent in its sale to an NYSE-listed financial services holding company.

Capital markets transactions:

  • Representing a Canadian insurance company and financial services provider in its registered MJDS offering of $1.75 billion of senior notes.
  • Representing a national wholesale distributor of landscape supplies in its $241.5 million initial public offering.
  • Representing a global provider of broadband connectivity products and services for aviation in its offering of $525 million aggregate principal amount of 12.500% senior notes.
  • Representing a national foodservice distributor in its offering of $600 million aggregate principal amount of 5.875% notes.
  • Representing a major recorded music, music publishing and artist services company in its offering of $300 aggregate principal amount of 5.000% senior secured notes.
  • Representing a global producer of fiber-based packaging, pulp and paper in its $2.3 billion offering of 3.000% and 4.400% senior notes.
  • Representing a global chemical distributor and a private equity firm in the firm’s sale of its remaining shares of the chemical company.
  • Representing a major recorded music, music publishing and artist services company in its offering of $250 million aggregate principal amount of 4.875% senior secured notes and €345 million aggregate principal amount of 4.125% senior secured notes and a related tender offer and redemption of the company’s outstanding 6.000% and 6.250% senior secured notes.
  • Representing a global chemical distributor, a global private equity firm and a Singapore-based investment company in a secondary offering of 12.5 million shares of the chemical company’s common stock.
  • Representing a Canadian insurance company and financial services provider in its registered offering of $750 million aggregate principal amount of 4.061% subordinated notes.
