Overview

Kathie is the former partner-in-charge in the New York office and a former leader of the Commercial & Public Finance group. She focuses her practice on the development, negotiation and documentation of complex commercial loan transactions, private debt, equity and mezzanine placements, structured finance transactions, creditors' rights matters and sales and other dispositions of assets. Kathie is admitted to the bar in the states of Ohio and New York.

Experience
  • Represented a leading supplier of engineered products and services to the power and energy industry in negotiation of $100 million multi-currency revolving credit facility, involving foreign subsidiaries and collateral located in Mexico, Hong Kong, China and the Netherlands.
  • Represented a major supplier of film pressure sensitive labeling systems in negotiation of $10 million secured dollar tranche revolving credit facility, $15 million secured multi-currency tranche revolving credit facility, $60 million secured term loan and €35 million mezzanine facility.
  • Acted as special counsel for one of the largest specialty retailers of fabrics and crafts in negotiation of $650 million secured term loan and $375 million revolving credit loan in connection with a going private transaction.
  • Represented a multi-national property and casualty insurance company in negotiation of $200 million credit facility, including a multi-currency letter of credit facility.
  • Represented a global producer of specialty chemicals in negotiation of a series of commodity and interest rate derivative products.
  • Represented a manufacturer of optical products and imaging systems in negotiation of a $100 million letter of credit facility.
  • Represented a specialty chemicals manufacturer in negotiation of $40 million revolving credit facility, $105 million term loan facility and various interest rate hedge agreements and foreign currency swap agreements.
  • Represented a large utility company in negotiation of $75 million Credit Agreement with syndicate of major financial institutions.
  • Represented a leading manufacturer and supplier of printing solutions in negotiation of $350 million multicurrency revolving credit facility.
  • Represented a leading manufacturer and supplier of printing solutions in public offering of $350 million 5.900% Senior Notes and $300 million 6.650% Senior Notes.
  • Represented various individual funds of a private equity company in the negotiation of bridge credit facilities secured by limited partner capital contributions.
  • Represented a leading global producer of specialty chemicals and specialty materials for the transportation, consumer and industrial market in negotiation of $1.075 billion Five Year Credit Agreement with a syndicate of major financial institutions.
  • Represented a leading global producer of specialty chemicals and specialty materials for the transportation, consumer and industrial market in negotiation of $2.450 billion 364 Day Credit Agreement with a syndicate of major financial institutions.
  • Represented the largest publicly owned manufacturer and distributor of social expression products in negotiation of $200 million multi-currency Credit Agreement with large regional financial institutions.
  • Represented a major polymer services company in negotiation of $50 million Revolving Credit Agreement with a syndicate of major financial institutions.
  • Represented certain foreign subsidiaries of a specialty chemicals and additives producer in negotiation of €250 million Credit Agreement with large international financial institutions.
  • Represented a large utility company in negotiation of $75 million Credit Agreement with syndicate of major financial institutions.
  • Represented specialty chemical manufacturer in negotiation of $145 million Revolving Credit and Term Loan Agreement with international financial institutions.
  • Represented publishing company in negotiation of $35 million acquisition and working capital line of credit with a large regional bank.
  • Represented venture capital fund in negotiation of $25 million demand line of credit with a national bank.
  • Represented specialty chemicals manufacturer in negotiation of $40 million revolving credit facility, $105 million term loan facility and various interest rate hedge agreements and foreign currency swap agreements.
  • Represented a major polymer services company in negotiation of $225 million Receivables Purchase Agreement with major institutional investor syndicate.
  • Represented a major national bank in receivables purchase agreements, including receivables of foreign account debtors covered by credit insurance.
  • Represented the financing subsidiary of a leading polymer products company in negotiation of $175 million Receivables Purchase Agreement with major institutional investor syndicate.
  • Represented a leading producer of performance enhancement materials used in a variety of end products in negotiation of $100 million Receivables Purchase Agreement with syndicate of major institutional investors.
