Professional Experience

Kathie is the partner-in-charge in the New York office and a former leader of the Commercial & Public Finance group. She focuses her practice on the development and documentation of complex commercial loan transactions, private debt, equity and mezzanine placements, asset securitizations, mergers and acquisitions, creditors' rights and sales and other dispositions of assets. Kathie is admitted to the bar in the states of Ohio and New York.

• Represented a leading supplier of engineered products and services to the power and energy industry in negotiation of $100,000,000 multi-currency revolving credit facility, involving foreign subsidiaries and collateral located in Mexico, Hong Kong, China and the Netherlands.
• Represented a major supplier of film pressure sensitive labeling systems in negotiation of $10,000,000 secured dollar tranche revolving credit facility, $15,000,000 secured multi-currency tranche revolving credit facility, $60,000,000 secured term loan and €35,000,000 mezzanine facility.
• Acted as special counsel for one of the largest specialty retailers of fabrics and crafts in negotiation of $650,000,000 secured term loan and $375,000,000 revolving credit loan in connection with a going private transaction.
• Represented a multi-national property and casualty insurance company in negotiation of $200,000,000 credit facility, including a multi-currency letter of credit facility
• Represented a global producer of specialty chemicals in negotiation of a series of commodity and interest rate derivative products.
• Represented manufacturer of optical products and imaging systems in negotiation of a $100,000,000 letter of credit facility.
• Represented specialty chemicals manufacturer in negotiation of $40,000,000 revolving credit facility, $105,000,000 term loan facility and various interest rate hedge agreements and foreign currency swap agreements.
• Represented large utility company in negotiation of $75,000,000 Credit Agreement with syndicate of major financial institutions.
• Represented a leading manufacturer and supplier of printing solutions in negotiation of $350,000,000 multicurrency revolving credit facility.
• Represented a leading manufacturer and supplier of printing solutions in public offering of $350,000,000 5.900% Senior Notes and $300,000,000 6.650% Senior Notes.
• Represented various individual funds of a private equity company in the negotiation of bridge credit facilities secured by limited partner capital contributions.
• Represented a leading global producer of specialty chemicals and specialty materials for the transportation, consumer and industrial market in negotiation of $1,075,000,000 Five Year Credit Agreement with a syndicate of major financial institutions.
• Represented a leading global producer of specialty chemicals and specialty materials for the transportation, consumer and industrial market in negotiation of $2,450,000,000 364 Day Credit Agreement with a syndicate of major financial institutions.
• Represented the largest publicly-owned manufacturer and distributor of social expression products in negotiation of $200,000,000 multi-currency Credit Agreement with large regional financial institutions.
• Represented a major polymer services company in negotiation of $50,000,000 Revolving Credit Agreement with a syndicate of major financial institutions.
• Represented certain foreign subsidiaries of a specialty chemicals and additives producer in negotiation of €250,000,000 Credit Agreement with large international financial institutions.
• Represented large utility company in negotiation of $75,000,000 Credit Agreement with syndicate of major financial institutions.

• Represented major national bank in receivables purchase agreements, including receivables of foreign account debtors covered by credit insurance.
