Professional Experience

Todd is an associate in the firm's Corporate Transactions & Securities practice group. He counsels clients in connection with a wide range of domestic and international commercial and transactional matters, including securities offerings and capital raising activities, acquisitions/dispositions of businesses and business lines, commercial agreements, and entity organization and governance. Todd also assists clients with various real estate matters.

Prior to law school, Todd worked for a large title insurance company where he provided title related services to commercial clients.

Todd is licensed to practice law in Ohio.

  • Represented subsidiary of Swiss public company in acquisition of 100% of the stock of two U.S. dairy companies.
  • Represented equipment manufacturing company in connection with approximately $6,000,000 acquisition of substantially all of the assets of Canadian competitor.
  • Represented manufacturer of pressure sensitive labels in approximately $37,000,000 acquisition of subsidiary of leading global beverage company, along with negotiation of related cross-border debt financing arrangements.
  • Represented public company in venture-style investment in technology company.
  • Assisted various clients with multi-state internal tax-driven restructurings.
  • Provided advice to European clients in connection with formation of U.S. subsidiaries.
  • Reviewed, negotiated and drafted commercial agreements for clients in a variety of sectors.
