Professional Experience
Kathie is the partner-in-charge in the New York office and is the leader of the Commercial and Public Finance group. She focuses her practice on the development and documentation of complex commercial loan transactions, private debt, equity and mezzanine placements, asset securitizations, mergers and acquisitions, creditors' rights and sales and other dispositions of assets. Kathie is admitted to the bar in the states of Ohio and New York.

- Represented certain foreign subsidiaries of a specialty chemicals and additives producer in negotiation of €250,000,000 Credit Agreement with large international financial institutions.
- Represented a leading manufacturer and supplier of printing solutions in negotiation of $300,000,000 Revolving Credit Agreement with syndicate of major financial institutions.
- Represented large utility company in negotiation of $75,000,000 Credit Agreement with syndicate of major financial institutions.
- Represented specialty chemical manufacturer in negotiation of $145,000,000 Revolving Credit and Term Loan Agreement with international financial institutions.
- Represented specialty chemical manufacturer in negotiation of $125,000,000 exit financing agreement with consortium of institutional investors.
- Represented publishing company in negotiation of $35,000,000 acquisition and working capital line of credit with large regional bank.
- Retained as special counsel on continuing basis to advise a large publicly-owned manufacturer and distributor of tires, belts, hoses, and other engineered rubber products and rubber-related chemicals with respect to its (1) $1,500,000,000 First Lien Credit Agreement with a syndicate of major domestic and international institutional investors, (2) $1,200,000,000 Second Lien Credit Agreement with a syndicate of major domestic financial institutions, (3) $300,000,000 Third Lien Credit Agreement with a syndicate of major domestic financial institutions, (4) $650,000,000 Term Loan and Revolving Credit Agreement with a syndicate of major international financial institution, (5) $450,000,000 11% Senior Secured Notes and $200,000,000 Senior Secured Floating Rate Notes.
- Represented venture capital fund in negotiation of $25,000,000 demand line of credit with national bank.
- Represented specialty chemicals manufacturer in negotiation of $40,000,000 revolving credit facility, $105,000,000 term loan facility and various interest rate hedge agreements and foreign currency swap agreements.
- Represented major manufacturer in negotiation of $775,000,000 364-day revolving credit agreement with syndicate of 25 banks and $150,000,000 five-year revolving credit agreement with syndicate of 20 banks.
- Represented a major polymer services company in negotiation of $225,000,000 Receivables Purchase Agreement with major institutional investor syndicate.
- Represented major national bank in receivables purchase agreements, including receivables of foreign account debtors covered by credit insurance.
- Acted as issuer’s counsel on over $2,200,000,000 of auto loan securitizations since 1997.
- Represented the financing subsidiary of a leading polymer products company in negotiation of $175,000,000 Receivables Purchase Agreement with major institutional investor syndicate.
- Represented a leading producer of performance enhancement materials used in a variety of end products in negotiation of $100,000,000 Receivables Purchase Agreement with syndicate of major institutional investors.
