Jennifer is an associate in the Commercial and Public Finance practice group. She focuses her practice on public finance and has experience serving as bond counsel, underwriters' counsel, company counsel and bank counsel. Her practice includes tax-exempt and taxable financings for nonprofit and private entities by or through various state and local Ohio governmental entities. Her financings have included industrial and economic development revenue bonds, 501(c)(3) bonds, water revenue bonds, airport revenue bonds, conduit financings, general obligation bonds and lease financings.

In addition, Jennifer maintains a practice in the development and documentation of complex commercial loan transactions (representing both borrowers and lenders), asset securitizations, commercial and banking laws, and creditor's rights and workouts (representing both borrowers and lenders).

  • Public Finance/Securitization:
  • Acted as bond counsel with respect to the first bond issue of the Delaware County Port Authority.
  • Acted as bond counsel with respect to a $356,100,000 refunding for the Ohio Building Authority (listed in The Bond Buyer as the largest "Public Facilities" bond issue in the United States in 2004).
  • Acted as underwriters' counsel with respect to multiple series of Water Revenue Bonds and Airport System Revenue Bonds issued by the City of Cleveland.
  • Acted as bond counsel and company counsel in connection with multiple industrial and economic development projects.
  • Acted as bond counsel and company counsel for various 501(c)(3) nonprofit entities in connection with multiple tax-exempt bond issues.
  • Acted as bank counsel for various letter of credit providers in connection with credit enhancement for tax-exempt and taxable issues related to healthcare facilities.
  • Acted as issuer's counsel in connection with multiple SEC-registered and private placement student loan securitizations that included federally guaranteed, privately guaranteed and unguaratneed student loans.
  • Commercial Finance/Creditors' Rights:
  • Represented a leading global producer of specialty chemicals and specialty materials for the transportation, consumer and industrial market in the negotiation of $2,450,000,000 364 Day Credit Agreement with a syndicate of major financial institutions and in the negotiation of $1,075,000,000 Five Year Credit Agreement with a syndicate of major financial institutions.
  • Represented portfolio companies of venture capital group in negotiation of various Credit Agreements with various major financial institutions ranging in size from $5,000,000 to $50,000,000.
  • Represented secured lenders in various out of court loan workouts involving revolving and term loan facilities, including loans to manufacturing companies, telecommunications companies, factoring companies, service providers and various other entities.
