Professional Experience
Jared is an associate in Thompson Hine's Real Estate and Corporate Transactions and Securities practice groups.
He regularly represents Real Estate Investment Trusts (REITs), Real Estate Operating Companies (REOCs), institutional investors, lenders, private equity funds and other public and private investors, developers and owners of commercial real estate, with a particular focus on retail/shopping center assets. This work includes counseling clients in the acquisition and sale of commercial properties, repositioning troubled assets, entity planning (including formation and structuring with respect to joint ventures, limited partnerships, limited liability companies and corporations), leasing, development, asset management, commercial lending and debt restructuring.
In addition, Jared devotes a significant portion of his practice to providing strategic counseling on corporate real estate matters and complex real estate litigation.

- Retail/Mixed Use:
- Acquisitions and Sales. Representation of purchasers and sellers of regional and community shopping centers throughout the United States, including representation of a NYSE-listed REIT in the sale of multiple shopping center assets throughout the United States and representation of a joint venture in the purchase of the ownership interests in a regional mall in Hamilton County, Ohio, which transaction included the assumption of securitized mortgage debt and mezzanine debt.
- Lending. Representation of a NYSE-listed REIT in connection with multiple loan transactions, including a $350,000,000 mortgage loan from a national life insurance company, which loan was secured by six shopping centers located in four states and Puerto Rico; and an $85,000,000 mortgage loan from another national life insurance company, which loan was secured by four shopping centers located in Puerto Rico.
- Retail Leasing. Representation of landlords in retail leasing transactions with national, regional and local tenants ranging from anchor tenants to restaurants and small shop retailers, including the representation of a NYSE-listed REIT in the negotiation of over 35 new retail and restaurant leases in 2010.
- Mixed Use. Counsel to the developer of a 80-acre, mixed-use retail, entertainment and residential project in Hallandale Beach, Florida. This 1-million square foot project will include (in the initial phases) 375,000 square feet of retail space; 75,000 square feet of office space; and an upscale full-service hotel, integrated with an existing state-of-the-art thoroughbred horse race track with a Vegas-style clubhouse and casino. Future phases will include high-end residential condominiums and additional retail, entertainment and office uses.
- Shopping Center Development. Counsel to developers of new shopping centers, including a 1.6 million square foot open air shopping center in Lee County, Florida, which project included multiple phases and a variety of uses, including retail, entertainment, restaurant and hotel.
- Retail Pad Sales. Representation of developers in the sale of land to big box retailers, including drafting and negotiating Purchase and Sale Agreements, OEA's, COREA's, Site Development Agreements and related transaction documents (multiple transactions involving Kohl's Costco and Target).
- Retail Strategy. Counsel to developers in the strategic planning and implementation of more than 50 retail redevelopment projects, including shopping center expansions and reconfigurations, tenant relocations and implementation of new multi-media, waste management and other complementary business development programs.
- Distressed Tenant Strategy. Counsel to a NYSE-listed REIT in connection with leasing matters arising out the bankruptcy of several national retailers, including, Steve & Barry's, Linens-N-Things, Goody's Family Clothing and Circuit City.
- Commercial/Office/Industrial:
- Financing - Lender's Counsel. Representation of a global automobile manufacturer's financial services division as lender in multiple construction and mortgage loan transactions to dealers and franchisees, secured by automobile dealerships and other property located throughout the United States.
- Financing- Borrower's Counsel. Representation of a private developer in the negotiation of loan transactions in the approximate aggregate amount of $30,000,000, for land acquisition and construction financing relating to an industrial development project in Glenwillow, Ohio, consisting of two industrial/warehouse buildings totaling 375,000 square feet.
- Acquisitions and Sales. Counsel to private equity firm in the acquisition, leasing and disposition of industrial facilities throughout the United States, including multi-site and multi-state transactions.
- Corporate Real Estate Transactions. Real estate counsel to publicly traded and privately held corporations, as well as private equity investors, in connection with the acquisition and disposition of various companies (including mergers, stock/equity sales and asset sale transactions), which work includes the negotiation of transaction documents and providing strategic advice with respect to real property and facilities issues relating to the acquisitions and dispositions.
- Industrial Leasing.. Representation of landlords and several manufacturers (as tenants) in lease negotiations for industrial/manufacturing and warehouse properties throughout the United States, including the negotiation of a leases for a 200,000 square foot industrial facility in Milwaukee, Wisconsin; and a 243,000 square foot distribution center near Indianapolis, Indiana.
- Office Recapitalizations. Representation of owner in recapitalization of $320,000,000 office building and hotel facility in Cleveland, Ohio.
- Office Sales. Representation of owner in sale of $70,000,000 office building in Columbus, Ohio.
- Office Leasing. Representation of several tenants in the negotiation of office leases for corporate headquarters and/or branch office locations.
