Professional Experience

Faith serves as the leader of Thompson Hine's Life Sciences group. She is also a partner in the firm's Corporate Transactions & Securities and International practice groups.

Faith advises clients on securities law, venture capital and mergers and acquisitions both in the U.S. and internationally. She regularly represents technology based companies, principally in the areas of biotechnology, medical technologies, healthcare, software and energy and clean technology. She routinely counsels her clients on many aspects of their corporate development, from initial organization and acquisition of technology, through private financing and initial public offering, to strategic alliances and business combination transactions. She also represents venture capitalists in portfolio investments and underwriters in public offering and private placements of equity securities, and management and boards of public companies on complex disclosure and insider trading issues, compliance with federal securities law, and corporate governance requirements.

With more than 25 years of corporate transactional experience, both as a lawyer and a business women, Faith and has been advisor to many emerging and developmental stage companies. She currently sits on the board of several emerging companies.

Additionally, Faith serves as outside general counsel for a number of her clients advising on day-to-day corporate and general business matters, as well as helping them to manage acquisitions, dispositions, financings, employment issues, contract matters, and litigation.

Further extended responsibilities include Faith's role as Chair the New York office's extensive Women in Spotlight efforts. She also devotes much of her time to mentoring and training younger associates.

Faith has been named a BTI Client Service All-Star.

Faith is admitted to practice in the State of New York.
